These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Valadisse ("Company," "we," "us," or "our") governing your access to and use of the Valadisse platform, including all related services, tools, and content (collectively, the "Services").
By creating an account, accessing the Services, or submitting data to our platform, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms.
Valadisse is a programmatic yield intelligence platform for independent digital publishers. We analyze publisher ad stack data to identify supply chain gaps, floor optimization opportunities, and demand diversification strategies. Publishers upload their ad server data to receive diagnostic findings and ongoing monetization alerts.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will endeavor to provide reasonable notice of material changes.
Advisory nature of findings: All diagnostic findings, recommendations, and alerts provided through the Services are advisory in nature. Valadisse makes no guarantees regarding revenue outcomes resulting from actions taken based on our findings. Publishers remain solely responsible for all decisions regarding their ad stack configuration and vendor relationships.

You may update or delete your account at any time through your account settings or by contacting us at hello@valadisse.com.
Valadisse offers subscription-based access to the Services. Subscription details, including pricing and included features, are available on our pricing page. We offer both monthly and annual billing cycles at your election.
We may offer a free trial period of up to 14 days. At the end of the free trial, your account will not be charged automatically. Your subscription will be suspended until you choose to upgrade to a paid plan. We reserve the right to modify or discontinue free trial offers at any time.
Paid subscriptions automatically renew at the end of each billing period (monthly or annual, per your selection) unless cancelled before the renewal date. By subscribing, you authorize us to charge your payment method for the applicable subscription fee at the start of each renewal period.
You may cancel your subscription at any time by logging into your account settings and following the cancellation process. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.
Payment is processed through Stripe. By providing payment information, you authorize Stripe to charge your payment method in accordance with your selected subscription plan. All fees are in US dollars and are exclusive of applicable taxes.
We reserve the right to modify subscription pricing at any time. We will provide at least 30 days advance notice of any price changes. Continued use of the Services after a price change constitutes your acceptance of the new pricing.
You agree not to engage in any of the following activities in connection with your use of the Services:
The Services allow you to upload ad server data files, including CSV exports and other data formats ("User Content"). You retain all ownership rights in your User Content.
By uploading User Content, you grant Valadisse a limited, non-exclusive, non-transferable license to access, process, and analyze your User Content solely for the purpose of providing the Services to you. We do not share your User Content with any third party except as necessary to provide the Services and as described in our Privacy Policy.
You represent and warrant that you have all necessary rights to upload and provide your User Content, and that your User Content does not violate any third party's rights or any applicable laws.
The Services, including all software, algorithms, scoring methodologies, interfaces, designs, and content created by Valadisse, are owned by Valadisse and are protected by intellectual property laws. Our proprietary scoring methodology — including the Supply Chain Health Score, Floor Optimization Index, and Demand Diversity Index — constitutes a trade secret of Valadisse.
The diagnostic findings deck and reports delivered to you as part of the Services are licensed to you for your internal business use. You may not reproduce, distribute, or publicly share these materials without our prior written consent.
Nothing in these Terms transfers any ownership rights in the Services or our intellectual property to you.
The Services may contain links to third-party websites or resources. These links are provided for your convenience only. Valadisse has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them. Your use of third-party websites is subject to the terms and conditions of those websites.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
VALADISSE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT ANY DIAGNOSTIC FINDINGS OR RECOMMENDATIONS WILL RESULT IN INCREASED REVENUE OR IMPROVED PERFORMANCE.
We maintain security measures designed to protect your data, but no security system is impenetrable. We cannot guarantee that unauthorized third parties will never be able to defeat our security measures.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALADISSE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO VALADISSE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL VALADISSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF VALADISSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU MUST BRING ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WITHIN ONE (1) YEAR OF THE DATE THE CLAIM AROSE. CLAIMS NOT BROUGHT WITHIN THIS PERIOD ARE PERMANENTLY BARRED.
Before initiating any formal dispute resolution process, you agree to first attempt to resolve the dispute informally by contacting us at hello@valadisse.com. Both parties will engage in good-faith negotiations for a period of at least 30 days from the date of notice.
If the dispute cannot be resolved through informal negotiation, it shall be submitted to binding arbitration in Sonoma County, California, United States. Valadisse agrees to pay arbitration fees if they are deemed excessive. The arbitrator's decision shall be final and binding on both parties.
This arbitration provision does not prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
All disputes must be resolved on an individual basis. You waive the right to participate in any class action lawsuit or class-wide arbitration against Valadisse.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Sonoma County, California.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email to the address associated with your account. Updated Terms will be posted to this page with a revised effective date.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and cancel your subscription before the effective date.
